The opportunity

ING is looking for a smart, energetic, diligent and pragmatic (Senior) Legal Counsel to strengthen the Corporate Legal team within the Corporate Legal Affairs department at the very heart of ING. Together with your colleagues you will advise the organisation on the impact and implementation of applicable laws and regulations in the field of corporate law and governance. You will work closely with the various other functions, senior management and countries to ensure sufficient understanding of corporate law related matters and proper legal risk management.

The team

Working in this role means working in a highly dynamic international, changeable and challenging environment where you will work with a wide variety of departments on all levels. You will become part of the Corporate Legal team of approximately 12 lawyers while enjoying a varied and extensive breadth of work within the Corporate Legal Affairs department.

The team has responsibility for providing concise, comprehensive legal advice on corporate law and governance related matters including corporate governance, shareholders’ meetings, annual reports, intra-group transactions, M&A, internal processes, etc.

Your role and responsibilities

  • keep abreast of Dutch corporate law and governance developments with the purpose to pro-actively advice ING and internal stakeholders about impact and implementation;

  • structure legal advice in such a way as to allow for constructive (commercial) decisions to be made and providing options and alternatives where necessary;

  • help managing part of the corporate programmes which are run by the Corporate Legal team:

    • the Legal Corporate Governance Programme which organises the governance of ING to ensure compliance with the Banking Code, Corporate Governance Code and EBA Guidelines on Internal Governance;

    • the Control Legal Entity Programme which enhances the global management of and control over ING's legal structure;

    • the MS Proxies Programme which governs the global (internal) rules and regulations regarding proxies.

  • mentor and train junior team members advising on the aforementioned matters;

  • closely cooperate with colleagues with a clear focus on harmonization and knowledge sharing.

How to succeed

  • has a master's degree in Dutch law with a focus on corporate law, transactions & governance;

  • has a minimum of 5-8 years of proven, legal working experience with corporate law, governance ((M&A) transaction experience is a pre) within an international commercial organisation (preferably in the banking sector) and/or a law firm;

  • has excellent communication skills both spoken and in writing in English and Dutch;

  • is a self-starter and an energetic, open minded team player;

  • has a can-do mentality and a pro-active, collaborative and curious mind-set;

  • is pragmatic, client focused, able to think strategically and creatively and has mature legal judgment;

  • has the ability to interpret complex laws and regulations and translate those into clear, practical guidance to the business and takes into account the receiver of such guidance;

  • has the skill to assume a high level of responsibility, with excellent influencing and interpersonal skills and proven problem-solving capabilities;

  • can perform under pressure, prioritise and quickly navigate amongst several topics;

  • is capable of building and maintaining relationships with other departments in a dynamic and complex environment.
